Terms of Service
These Terms of Service govern the IT consulting, cloud administration, and marketing technology services provided by Veltrix IT Limited. By requesting a proposal, accepting a quote, or paying an invoice, you agree to these terms.
1. Who we are
Services are provided by Veltrix IT Limited (“we”, “us”), a company incorporated in Hong Kong, Business Registration No. 81485489, with its registered address at Unit 1603, 16th Floor, The L. Plaza, 367–375 Queen’s Road Central, Sheung Wan, Hong Kong. “You” or “the client” means the business that engages us.
2. Our services
We provide B2B technology services, including:
- deployment and integration of CRM systems and marketing automation platforms;
- setup, migration, and administration of cloud workspaces and SaaS tools;
- design of tracking, analytics, and reporting infrastructure;
- ongoing technical support under a monthly retainer.
The exact scope, deliverables, timeline, and fees of each engagement are set out in a written proposal or statement of work (“Proposal”). If a Proposal conflicts with these terms, the Proposal prevails for that engagement.
3. How a project starts
After an introductory consultation we send a Proposal. An engagement begins once you accept the Proposal in writing (including by email) or pay the first invoice. Work outside the agreed scope is quoted separately before it begins.
4. Fees and payment
- All fees are quoted and invoiced in US dollars (USD) unless the Proposal states otherwise.
- For fixed-price projects, 50% of the fee is payable in advance and the balance on delivery.
- Retainers are billed monthly in advance.
- Invoices are payable within 7 days of issue.
- Third-party software licenses, subscriptions, and cloud usage fees are either paid by you directly to the vendor or re-invoiced by us at cost, as agreed in the Proposal.
- Bank and payment-provider charges on your side are borne by you. We may pause work while an invoice is overdue.
5. Your responsibilities
To deliver on time, we rely on you to provide timely access to the systems in scope, accurate information, and a decision-maker for approvals. You remain the owner of your accounts, licenses, and data, and you are responsible for complying with the terms of the third-party platforms you use. Please share credentials only through secure channels and keep your own backups of business-critical data.
6. Third-party platforms
We work with software provided by third parties, such as Google Workspace, CRM systems, and analytics tools. We are an independent consultancy and are not affiliated with, endorsed by, or acting on behalf of those vendors. Their availability, pricing, and functionality are controlled by the vendors, and we are not responsible for their outages or changes.
7. Intellectual property
Once you have paid in full, you own the configurations, documentation, scripts, and other deliverables created specifically for you. We retain our pre-existing tools, templates, and know-how, and grant you a non-exclusive, perpetual license to use any of them that are built into your deliverables. Third-party software remains the property of its vendors.
8. Confidentiality
Each party keeps the other’s non-public business, technical, and personal information confidential and uses it only to perform the engagement. This obligation survives the end of the engagement. It does not apply to information that is public, already known to the receiving party, or required to be disclosed by law.
9. Data protection
When we access personal data in your systems, we do so only to deliver the services and on your instructions, applying appropriate security measures. How we handle personal data that we collect ourselves is described in our Privacy Policy.
10. No guarantee of results
We perform our services with reasonable skill and care. Marketing performance, revenue, and return on investment depend on many factors outside our control, so we do not guarantee specific business results.
11. Limitation of liability
Our total liability arising from an engagement is limited to the fees you paid us for that engagement in the three months before the claim arose. We are not liable for indirect or consequential losses, including loss of profit, revenue, or data. Nothing in these terms limits liability that cannot be limited under applicable law.
12. Cancellation and termination
Either party may end a retainer with 14 days’ written notice. Cancellation of projects and refunds are governed by our Refund and Cancellation Policy. Either party may terminate immediately if the other materially breaches these terms and does not remedy the breach within 14 days of notice.
13. Governing law
These terms are governed by the laws of the Hong Kong Special Administrative Region. The courts of Hong Kong have non-exclusive jurisdiction over any dispute.
14. Changes to these terms
We may update these terms from time to time. The version in effect when you accept a Proposal applies to that engagement. Questions about these terms can be sent to founder@nut.gdn.
